Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stellogics, a platform provided by Stellogics, Inc. ("Stellogics," "we," "us," or "our") for AI-powered print estimating. By creating an account or using Stellogics (the "Service"), you agree to these Terms on behalf of yourself and, if applicable, your organization.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a company or shop, you represent that you have authority to bind that entity to these Terms.
2. The Service
Stellogics helps print shops generate quotes from RFQs by extracting print specifications, selecting pricing components from your catalog, and calculating cost using AI models and deterministic pricing logic. Output quotes are estimates generated based on the data and catalog rates you provide; Stellogics does not guarantee the accuracy of any quote and you are responsible for reviewing quotes before sending them to your customers.
3. Accounts and Roles
Each shop account may have multiple team members with different roles (Admin, Estimator, Sales), each with different levels of access as described in the product. Shop Admins are responsible for managing user access and ensuring appropriate permissions are assigned.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. Connected Email Accounts
If you choose to connect a Gmail, Outlook, or IMAP email account, you authorize Stellogics to access incoming messages to identify and process RFQs, as described in our Privacy Policy. You may disconnect a connected account at any time.
5. Customer Data You Upload
You retain ownership of the customer, quote, and catalog data you input into the Service ("Your Data"). You grant Stellogics a license to use, process, and store Your Data solely to provide and improve the Service. You are responsible for ensuring you have the right to share any customer data you upload.
6. Subscription and Billing
Paid plans are billed monthly in advance through our payment processor, Stripe.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing period, and your payment method is charged again, until you cancel.
Cancellation. You may cancel at any time from the billing section of your account. Cancellation is self serve. Your subscription remains active through the end of the period you have already paid for, and your account then moves to the Free plan.
Refunds. Subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused quotes, or unused seats.
Price changes. We may change our prices. If we do, we will give you at least 30 days notice by email before the change applies to your subscription. Continuing to use a paid plan after the notice period means you accept the new price.
Free Plan. The Free plan, including its features, quote allowance, and availability, is offered at Stellogics' sole discretion and may be modified, limited, or discontinued at any time, with or without notice. Continued availability of the Free plan is not guaranteed, and Stellogics assumes no obligation to maintain its current terms. No credit, refund, or compensation will be provided if the Free plan is changed or discontinued.
Failed payments. If a payment fails, we may retry the charge and may suspend or downgrade your account if payment remains unsuccessful.
7. Data Retention After Cancellation
If your account is cancelled or downgraded from a paid plan, we retain your shop data, including your pricing catalog, quotes, and customer records, for 90 calendar days, so you can export it or reactivate without losing your setup. After 90 days, this data is deleted from our active systems, and may persist in encrypted backups for up to 7 additional days before those backups rotate out.
You may request earlier deletion at any time by contacting us at the email below. Billing and tax records are retained for 7 years as required by law, regardless of account deletion.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to access another shop's data without authorization
- Reverse-engineer, scrape, or resell the Service without our written consent
- Upload malicious code or attempt to disrupt the Service
9. Indemnification
You agree to indemnify, defend, and hold harmless Stellogics, Inc. and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) data you upload or process through the Service, including any claim that such data infringes or misappropriates a third party's rights or was shared without proper authorization; or (c) your violation of any applicable law.
10. Intellectual Property
Stellogics and its logos, software, and underlying technology are owned by Stellogics, Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available." Stellogics disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that quotes generated by the Service will be error-free or that the Service will be uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by law, Stellogics, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.
13. Termination
We may suspend or terminate your access to the Service if you violate these Terms. You may cancel your account at any time by contacting us.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Service will first be addressed through good-faith informal negotiation for at least 30 days. If unresolved, the dispute will be settled by binding arbitration administered under the rules of the American Arbitration Association, conducted in Delaware (or remotely, by mutual agreement), rather than in court, except that either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect its intellectual property or confidential information.
Any arbitration will be conducted on an individual basis; class actions and class arbitrations are not permitted.
15. Survival
Sections covering Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution survive termination of your account or these Terms.
16. General Provisions
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
Entire Agreement. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Stellogics regarding the Service, superseding any prior agreements on this subject.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.
